These terms govern your access to and use of this website, and any order you place with us. By using the site or placing an order, you accept these terms in full. If you do not accept them, please do not use the site.

Who we are

The website and store are operated by SUMI / 墨 (“SUMI”, “we”, “our”, “us”), a calligraphy studio based in Tokyo, Japan. References to “you” mean the visitor or customer.

Acceptance & updates

By browsing the site or placing an order, you agree to these terms together with our Privacy notice, Shipping policy, and Returns policy, which are incorporated by reference. We may update these terms at any time without prior notice; the version in force is the one published on this page at the time of your visit or order. Continued use of the site after changes are posted constitutes acceptance of the updated terms.

Eligibility

You must be at least the age of legal majority in your country of residence (18 in most jurisdictions) and have the legal capacity to enter into a binding contract. By placing an order you confirm that you meet these requirements and that the information you provide is accurate, current and complete. We may refuse service, close accounts, cancel orders or remove content at our sole discretion.

Products & availability

Products are made to order from digital calligraphy artworks. Colours, weave, fit and print placement may vary slightly between production batches and may not exactly match the representations on the site, which depend on your screen calibration, lighting and viewing device. Such variation is inherent to the medium and does not constitute a defect.

We may add, modify, suspend or discontinue any product, design, size or feature at any time, with or without notice, and without liability to you.

Orders & contract formation

Product listings are an invitation to treat, not an offer. Placing an order constitutes an offer to buy at the displayed price. Acknowledgement messages and the checkout receipt are automated; the contract is formed only when we send a separate order confirmation email for that order.

We reserve the right to refuse, limit, cancel or unwind any order — including after acknowledgement and including in part — for any lawful reason, including but not limited to suspected fraud, mispricing, stock or capacity constraints, shipping restrictions to your destination, breach of these terms, or where we cannot verify the information you provided. In such cases we will refund any amount actually charged for the cancelled portion; we have no further liability.

Pricing & taxes

Prices are shown in the currency selected at checkout and may change at any time without notice. Prices include VAT or sales tax only where we are required to collect it; otherwise import VAT, customs duties, handling fees and any other local charges are payable by the recipient on delivery, as further described in the Shipping policy.

Prices, descriptions, and availability are provided in good faith but may contain errors. In the event of an obvious pricing or description error, we are not obliged to honour the order at the incorrect terms and may cancel and refund in full, even after dispatch confirmation.

Payment

Payment is processed by third-party providers (including Shopify Payments and the payment methods listed at checkout) and is subject to those providers’ terms. We do not see or store full card numbers. By submitting payment details you represent and warrant that you are authorised to use the chosen payment method. We are not liable for any fees, holds, currency-conversion charges, declines or other actions taken by your bank or card issuer.

Shipping & risk

Production and delivery times shown on the site or at checkout are estimates only, not guarantees, and depend on factors outside our control including carrier performance, customs clearance and the accuracy of the address you provided. Risk of loss and title pass to you on delivery to the address you provided (or, where local law provides otherwise, on hand-over to the first carrier). Full conditions are set out in the Shipping policy.

Returns & cancellation

Each item is made to order. Your right to cancel or return is limited; the conditions, time-limits and exceptions are set out in the Returns policy. EU consumers retain their statutory withdrawal rights to the extent these apply by law and have not been excluded by the made-to-order nature of the goods.

Intellectual property

All content on this site — including the calligraphy artworks, photography, typography, layout, copy and source code — is owned by SUMI Studio or its licensors and is protected by copyright, trade-mark, design and other intellectual-property laws worldwide. The brand name “SUMI” and the kanji mark “墨” are trademarks of the studio.

When you buy a product, you buy the physical item only. You do not acquire any right, title or interest in the underlying artwork, design or typography. You may not reproduce, copy, modify, distribute, screen-print, sell, license or otherwise commercially exploit the designs without our prior written permission. Any unauthorised use is a material breach of these terms and may infringe our intellectual-property rights.

Acceptable use

You agree not to:

  • Use the site for any unlawful purpose or in breach of these terms
  • Copy, scrape, mirror, frame or redistribute site content without written permission
  • Interfere with the site, attempt to bypass security, or use automated tooling that places undue load on our infrastructure
  • Submit false, misleading or stolen personal data, payment data or shipping information
  • Place orders for resale on third-party marketplaces, dropshipping platforms or auction sites without our prior written agreement
  • Use the site or the products in any manner that could damage, disable, overburden, or impair our reputation

User submissions

If you submit any content to us — including reviews, photos, feedback or suggestions — you grant us a perpetual, worldwide, royalty-free, sub-licensable and irrevocable licence to use, reproduce, modify, adapt, publish and display that content for any purpose, including marketing. You confirm that you own or have the rights to grant this licence and that the content does not infringe any third-party rights.

Third-party links

The site may contain links to third-party websites or services that are not owned or controlled by us. We have no control over, and assume no responsibility for, the content, privacy policies or practices of any third-party sites. You access them at your own risk.

Warranty disclaimer

The site, its content and the products are provided “as is” and “as available” without warranties of any kind, whether express, implied, statutory or otherwise. To the maximum extent permitted by law, we disclaim all implied warranties including merchantability, satisfactory quality, fitness for a particular purpose, non-infringement and any warranties arising from course of dealing or usage of trade. We do not warrant that the site will be uninterrupted, error-free, secure or free of viruses or other harmful components. Statutory consumer rights that cannot lawfully be excluded are not affected.

Limitation of liability

To the maximum extent permitted by applicable law, in no event shall SUMI, its directors, employees, agents, suppliers or licensors be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profit, revenue, data, goodwill, business opportunity or anticipated savings, however caused and under any theory of liability (contract, tort, negligence, strict liability or otherwise), even if advised of the possibility of such damages.

Without prejudice to the above, our total aggregate liability for any claim arising out of or related to an order or your use of this site is capped at the lower of (i) the amount you actually paid for the product giving rise to the claim, or (ii) JPY 10,000.

Nothing in these terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any liability that cannot lawfully be limited or excluded under the law that applies to you as a consumer.

Indemnification

To the extent permitted by law, you agree to defend, indemnify and hold harmless SUMI and its directors, employees and agents from and against any claims, liabilities, damages, losses and expenses (including reasonable legal fees) arising out of or related to: (a) your breach of these terms or any policy incorporated by reference, (b) your misuse of the site or the products, (c) your violation of any law or third-party right, or (d) any content you submit to us.

Force majeure

We are not liable for any failure or delay in performing our obligations where the failure or delay results from causes beyond our reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, pandemic, government action, labour disputes, supply-chain failures, carrier disruption, customs holds, network or hosting outages, or any other event of force majeure.

General

  • Severability. If any provision of these terms is held to be invalid or unenforceable, the remaining provisions remain in full force and effect.
  • No waiver. Our failure to enforce any right or provision is not a waiver of that right or provision.
  • Assignment. You may not assign or transfer these terms without our prior written consent. We may assign these terms freely.
  • Entire agreement. These terms, together with the policies incorporated by reference, constitute the entire agreement between you and us regarding the site and any order.
  • No third-party rights. A person who is not a party to these terms has no right to enforce any term.
  • Notices. We may give notice by posting on this site or by emailing the address you provided at checkout; notice is deemed given on posting or sending.

Governing law & jurisdiction

These terms are governed by the laws of Japan without regard to conflict-of-laws principles. The Tokyo District Court has exclusive jurisdiction over any dispute arising out of or related to these terms or the site, except where the law of your country of residence as a consumer gives you the non-waivable right to bring proceedings in your local courts — in which case that right is preserved.
